These Terms of Service (“Terms”) govern your access to the VCore Systems website, located at https://vcore.systems, and the technology consulting, project delivery, support and related services provided by VCore Systems (“VCore Systems,” “we,” “us” or “our”).
By accessing our website, requesting services, approving a proposal, scheduling an appointment, submitting payment or otherwise engaging VCore Systems, you agree to these Terms.
1. Our Services
VCore Systems provides business technology services that may include:
Technology consulting and planning
IT infrastructure assessments and improvements
Network, Wi-Fi and workstation planning
Cloud services and software configuration
Business process automation
AI-readiness consulting and technology planning
Conference-room and collaboration technology
Technology support for office expansions and relocations
Vendor and installation coordination
Equipment deployment and project management
Remote, onsite and hybrid technology support
The exact services, deliverables, schedule and pricing for each engagement will be described in a written proposal, estimate, statement of work, service agreement, invoice or other project document.
2. Proposals and Project Agreements
Information presented on our website is general and does not constitute a binding proposal or guarantee of service availability.
A project begins only after the client approves the applicable proposal, estimate, statement of work or service agreement and completes any required payment or deposit.
When a separate written agreement conflicts with these website Terms, the separate agreement will control for that specific engagement.
3. Client Responsibilities
The client agrees to:
Provide accurate and complete project information.
Identify an authorized project contact and decision-maker.
Provide reasonable access to facilities, systems, accounts, equipment and personnel.
Maintain required licenses, subscriptions and permissions.
Inform VCore Systems of known technical, security, compliance or operational restrictions.
Review deliverables and provide approvals or feedback within the agreed timeframe.
Maintain current backups unless backup services are specifically included in the project scope.
Delays caused by unavailable access, incomplete information, third-party providers, client approvals or conditions outside our control may affect the project schedule and cost.
4. Access to Systems and Accounts
When necessary to perform authorized services, the client may provide VCore Systems with temporary access to systems, cloud platforms, devices, networks or administrative accounts.
VCore Systems will use this access only for the authorized scope of work. The client remains responsible for determining who is authorized to approve access and for removing or changing credentials after the engagement when appropriate.
Clients should not send passwords or sensitive credentials through unsecured communication channels.
5. Third-Party Products and Services
VCore Systems may recommend, configure, coordinate or assist with products and services provided by third parties, including hardware manufacturers, software vendors, cloud providers, telecommunications companies and managed-service platforms.

Pricing and renewal policies
VCore Systems is not responsible for third-party outages, product defects, licensing changes, discontinued services, security incidents or other actions outside our reasonable control.
Any product recommendation is based on the information and operational requirements available at the time of the assessment. It does not guarantee that the product will remain suitable indefinitely.
6. Estimates, Scheduling and Availability
Project estimates are based on the information available when the estimate is prepared. Unless otherwise stated in writing, estimates are not guaranteed fixed prices.
Additional charges may apply when:
The scope or requirements change.
Previously unknown technical conditions are discovered.
Additional equipment, labor or vendor support is required.
The client requests expedited, after-hours or out-of-scope work.
Delays outside VCore Systems’ control require additional coordination or labor.
Onsite, remote and hybrid service availability depends on location, scheduling, project requirements and resource availability.
VCore Systems does not guarantee emergency or same-day support unless this service is included in a separate written agreement.
7. Fees and Payment
Fees, deposits, payment schedules and due dates will be stated in the applicable proposal, invoice or service agreement.
The client agrees to pay all approved charges, including applicable taxes, third-party costs and authorized project expenses.
VCore Systems may pause scheduling, suspend services or withhold deliverables when an account is past due. Any late fees or collection costs will be applied only when disclosed in the applicable agreement or invoice and permitted by law.
Payments for third-party products, subscriptions, licenses and equipment may be nonrefundable once ordered, activated or committed to a vendor.
8. Cancellations and Rescheduling
Clients should provide reasonable notice when canceling or rescheduling an onsite appointment, assessment or scheduled project activity.
A cancellation or rescheduling charge may apply when:
Notice is not provided within the period stated in the proposal or appointment confirmation.
Equipment or third-party services have already been ordered.
Travel or vendor expenses have already been incurred.
Time was reserved specifically for the client.
Work has already begun.
Any project-specific cancellation terms will be stated in the applicable proposal or service agreement.
9. Changes to Project Scope
Requests that modify the approved scope, deliverables, assumptions, timeline or technical requirements may require a written change order or revised proposal.
VCore Systems will communicate the expected impact on cost, schedule and resources before beginning material out-of-scope work whenever reasonably possible.
Urgent work requested by an authorized client representative may be documented and billed after authorization through email, text message, project platform or another agreed communication method.
10. Confidentiality
Each party agrees to use reasonable care to protect nonpublic business, technical, financial and operational information received from the other party.
Confidential information may be used only to perform or receive the agreed services and may be shared with employees, contractors or vendors only when reasonably necessary for the engagement.
Confidentiality obligations do not apply to information that:
Is publicly available through no violation of these Terms.
Was lawfully known before disclosure.
Is independently developed without using the other party’s confidential information.
Is received legally from another source.
Must be disclosed under applicable law or a valid legal order.
A separate nondisclosure agreement may be used when additional confidentiality protections are required.
11. Data Protection and Backups
VCore Systems will use reasonable administrative and technical practices when handling client information within the approved scope.
However, no network, cloud platform, device, transmission method or security system can be guaranteed to be completely secure or continuously available.
Unless backup, disaster recovery or data-retention services are expressly included in writing, the client is responsible for:
Maintaining current and verified backups.
Confirming recovery procedures.
Retaining original files and business records.
Protecting account credentials.
Maintaining appropriate cybersecurity and insurance controls.
The client must inform VCore Systems before providing regulated, highly sensitive or legally restricted information.
12. Intellectual Property
VCore Systems retains ownership of its preexisting materials, methodologies, templates, processes, software, documentation, designs and general technical knowledge.
After full payment, the client may use the project-specific deliverables created for the client for its internal business purposes, subject to any third-party licensing restrictions.
Unless otherwise agreed in writing, the client may not:
Resell or commercially distribute VCore Systems materials.
Remove ownership or copyright notices.
Represent VCore Systems materials as independently created by the client.
Copy proprietary templates or methods for use outside the approved engagement.
The client retains ownership of its existing data, trademarks, content and business information.
13. Website Use
You may use the VCore Systems website only for lawful business and informational purposes.
You may not:
Attempt to gain unauthorized access to the website or related systems.
Introduce malware, harmful code or automated attacks.
Interfere with website performance or security.
Copy or republish website content without authorization.
Use the website to misrepresent your identity or organization.
Submit false, unlawful or abusive requests.
We may restrict or block access when we reasonably believe the website is being misused.
14. Informational Content
Website content, articles, assessments and general recommendations are provided for informational purposes.
Technology requirements vary by organization. Information on the website is not a substitute for a technical assessment, cybersecurity review, legal opinion, compliance analysis, financial advice or a project-specific recommendation.
15. No Guarantee of Specific Results
VCore Systems will perform approved services using reasonable professional care.
However, we do not guarantee that:
Every technology issue can be resolved.
A project will produce a particular financial or operational result.
Third-party systems will remain available or compatible.
Technology will prevent every interruption or security incident.
AI, automation or modernization initiatives will generate a particular return on investment.
Search engine optimization or digital services will produce a specific ranking, traffic level or number of customers.
Project outcomes depend on many factors, including client participation, existing systems, third-party providers, budgets, organizational adoption and conditions outside our control.
16. Warranties
Except for commitments expressly included in a written agreement, services and website content are provided on an “as available” basis to the maximum extent permitted by law.
VCore Systems does not provide warranties on third-party hardware, software, telecommunications services or cloud platforms. Manufacturer or vendor warranties, when available, are provided directly by the applicable third party.
17. Limitation of Liability
To the maximum extent permitted by applicable law, VCore Systems will not be liable for indirect, incidental, special, punitive or consequential damages, including loss of profits, business interruption, lost data, lost opportunities or reputational harm.
Unless a separate signed agreement states otherwise, VCore Systems’ total liability arising from a specific engagement will not exceed the amount paid to VCore Systems for the services directly giving rise to the claim.
This limitation does not apply where liability cannot legally be limited or excluded.
18. Suspension and Termination
Either party may terminate an engagement according to the terms of the applicable proposal or service agreement.
VCore Systems may suspend or terminate services when:
Payments are overdue.
Required access or cooperation is not provided.
Continuing the work creates an unreasonable security, legal or safety risk.
The client requests unlawful or unauthorized activity.
The client materially violates these Terms or the applicable project agreement.
The client remains responsible for approved work completed, committed third-party costs and noncancelable expenses incurred before termination.
19. Force Majeure
VCore Systems is not responsible for delays or failures caused by events beyond its reasonable control, including severe weather, natural disasters, utility failures, internet or telecommunications outages, cyberattacks, labor disruptions, government actions, supply-chain delays, vendor failures or public emergencies.
20. Electronic Communications
You agree that proposals, approvals, notices, invoices, signatures and other project communications may be exchanged electronically.
Electronic records and signatures may be recognized as legally valid under applicable Florida and federal law.
21. Recurring Services
When a service includes recurring billing, the billing frequency, amount, renewal terms and cancellation process will be disclosed before the client enrolls.
Clients may cancel recurring services according to the applicable service agreement. Charges already incurred and noncancelable third-party commitments remain payable.
Recurring-service terms should be communicated clearly, consent should be obtained before billing, and cancellation should not be unnecessarily difficult.
22. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.
Unless otherwise required by law or agreed in writing, legal proceedings relating to these Terms or VCore Systems services will be brought in a court of appropriate jurisdiction located in Lake County, Florida.
23. Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in effect.
24. No Waiver
A party’s failure to enforce a provision of these Terms does not waive the right to enforce that provision later.
25. Changes to These Terms
VCore Systems may update these Terms to reflect changes in services, technology, business practices or legal requirements.
The updated version will be posted on this page with a revised “Last Updated” date. Changes will apply prospectively unless otherwise required by law or agreed in writing.
